About The Role

Key Accountabilities

  • Subsidiary Governance:
  • Board and shareholder meetings and decision-making support for Group’s subsidiaries, joint ventures and investments
  • Company secretarial support to wholly owned subsidiaries and ensuring all subsidiaries are in good standing Drafting of resolutions, minutes, delegation of authorities and other corporate documents
  • Maintaining an up-to-date Directors, shareholders & Officers register for subsidiaries and proactively taking necessary actions for changes required
  • General liaison with the internal stakeholders and registered agents/ service providers by being the focal point of contact for subsidiary related matters and documents.
  • Supporting with corporate transactions/ matters (including incorporations/ new JVs or investments)
  • Policy Governance:
  • Manage and oversee the development, issuance, periodic review, amendment and revocation of policies and procedures across du and its wholly owned subsidiaries.
  • Establish and maintain Group-wide policy governance guidelines, including approval requirements.
  • Monitor policy review cycles and initiate mandatory reviews in accordance with the approved policy governance guidelines.
  • Maintain an up-to-date centralized repository of the Group’s policies and procedures, ensuring accessibility for all relevant stakeholders.
  • Support with the policy awareness to promote understanding and adherence across the Group.

Qualifications

  • Minimum bachelor's in business or any relevant field such as law or corporate governance and ideally should be a qualified company secretary or chartered governance professional.

Experience

  • Minimum 5 years of proven work experience in a similar role.
  • Good knowledge and experience in handling day to day company secretarial, entity management, board meetings support, policies governance and other corporate governance matters.
