About The Role

Join ezCater, a rapidly growing company in the food delivery industry, as an Associate Corporate Counsel. In this role, you will provide legal support by drafting, negotiating, and reviewing commercial agreements, primarily focusing on vendor and inbound contracts. You will also offer practical legal advice, assist with general legal matters, and manage assigned legal projects. The ideal candidate will have 3-5 years of legal experience, strong drafting and negotiation skills, and the ability to balance legal and business concerns.

  • Drafting, negotiating, reviewing, and interpreting a wide variety of commercial agreements, including vendor contracts and other agreements to support the business.
  • Building and improving contract templates, playbooks, talk tracks, and legal processes to help the business scale.
  • Providing practical legal analysis, strategy, and guidance to internal clients and cross-functional teams that balances business objectives and legal risk.
  • Ability to multi-task in a fast-paced, dynamic environment; adaptable to new situations and challenges
  • A strong work ethic, high standards, impeccable integrity, and well-honed analytical skills
  • Strong interpersonal skills and are a reliable self-starter with a positive, inclusive and team-oriented attitude
  • Ability to communicate the implications of legal requirements to internal clients
  • Minimum 3-5 years legal experience in a law firm or in-house, with experience in commercial contracts, and membership to at least one state bar
  • Excellent verbal and written communication skills with ability to write in a clear and concise manner and effectively communicate across all levels of the organization and with third parties
  • Excellent judgment and ability to balance risk with business objectives, able to operate independently and know when to escalate issues to other in-house counsel
  • Excellent ability to negotiate with third parties in both non-confrontational and potentially adversarial scenarios
  • Strong drafting skills (from forms and from scratch) with a solid understanding of legal terms and contract formulation principles, including confidentiality, indemnity, termination, representations and other common contract provisions
