<p><span style="font-size: 12pt; color: rgb(102, 120, 140);">The Legal Counsel, Corporate, is a member of the Geotab in-house legal team and is responsible for managing complex corporate and commercial transactional agreements and negotiations. Specific areas of focus include a wide range of (private and public) corporate transactions, both domestically and cross-border, including acquisitions, investments, divestitures, restructurings and joint ventures. In addition, the role of  Legal Counsel, Corporate, will be expected to contribute to Geotab’s general corporate and commercial matters.</span></p>
<h1><span style="color: rgb(37, 71, 123);">How you'll make an impact:</span></h1>

<li style="font-size: 12pt; color: rgb(102, 120, 140);"><span style="font-size: 12pt; color: rgb(102, 120, 140);">Manage complex corporate and commercial agreements with a major focus on corporate transactions, both domestically and cross-border, including acquisitions, investments, divestitures, restructurings and joint ventures.</span></li>
<li style="font-size: 12pt; color: rgb(102, 120, 140);"><span style="font-size: 12pt; color: rgb(102, 120, 140);">Support the post-acquisition and integration of acquired entities or investments.</span></li>
<li style="font-size: 12pt; color: rgb(102, 120, 140);"><span style="font-size: 12pt; color: rgb(102, 120, 140);">Support legal aspects of risk management strategies with focus on corporate structuring.</span></li>
<li style="font-size: 12pt; color: rgb(102, 120, 140);"><span style="font-size: 12pt; color: rgb(102, 120, 140);">Support Geotab’s global strategic initiatives, including global expansion and new market entry.</span></li>
<li style="font-size: 12pt; color: rgb(102, 120, 140);"><span style="font-size: 12pt; color: rgb(102, 120, 140);">Draft, review, and negotiate commercial and finance agreements, including partnering agreements, purchase agreements, confidentiality agreements, debt agreements, licensing agreements, and various vendor and supply agreements.</span></li>
<li style="font-size: 12pt; color: rgb(102, 120, 140);"><span style="font-size: 12pt; color: rgb(102, 120, 140);">Support negotiations with resellers, customers, solution partners, OEMs, suppliers, governments and other stakeholders in a global context; integrate legal, technical and business considerations with a focus on practical solutions and strong business relationships.</span></li>
<li style="font-size: 12pt; color: rgb(102, 120, 140);"><span style="font-size: 12pt; color: rgb(102, 120, 140);">Advise on legal strategy for high-volume electronic contracting, pass-through of terms to third parties, and products that change frequently through continuous upgrades.</span></li>
<li style="font-size: 12pt; color: rgb(102, 120, 140);"><span style="font-size: 12pt; color: rgb(102, 120, 140);">Advise on industry-wide issues affecting Geotab and its stakeholders, including AI, big data, the Internet of Things (IoT), data privacy and other emerging regulatory topics.</span></li>
<li style="font-size: 12pt; color: rgb(102, 120, 140);"><span style="font-size: 12pt; color: rgb(102, 120, 140);">Develop in-depth technical knowledge and understanding of Geotab product offerings.</span></li>
<li style="font-size: 12pt; color: rgb(102, 120, 140);"><span style="font-size: 12pt; color: rgb(102, 120, 140);">Provide legal support for product design, development and implementation activities.</span></li>

<li style="font-size: 12pt; color: rgb(102, 120, 140);"><span style="font-size: 12pt; color: rgb(102, 120, 140);">Member in good standing with the Law Society of Ontario.</span></li>
<li style="font-size: 12pt; color: rgb(102, 120, 140);"><span style="font-size: 12pt; color: rgb(102, 120, 140);">Broad corporate and M&A experience, with a particular focus on technology transactions.</span></li>
<li style="font-size: 12pt; color: rgb(102, 120, 140);"><span style="font-size: 12pt; color: rgb(102, 120, 140);">An understanding of global corporate and tax structuring considerations.</span></li>
<li style="font-size: 12pt; color: rgb(102, 120, 140);"><span style="font-size: 12pt; color: rgb(102, 120, 140);">Familiarity with common and civil law jurisdictions.</span></li>
<li style="font-size: 12pt; color: rgb(102, 120, 140);"><span style="font-size: 12pt; color: rgb(102, 120, 140);">Ability to think strategically and work collaboratively with senior management to pursue opportunities and negotiate transactions. Works actively with business partners and outside counsel on a broad range of corporate matters.</span></li>
<li style="font-size: 12pt; color: rgb(102, 120, 140);"><span style="font-size: 12pt; color: rgb(102, 120, 140);">A collaborative self-starter and team player with strong business acumen and excellent interpersonal skills, able to engage with all levels of the organization. </span></li>
<li style="font-size: 12pt; color: rgb(102, 120, 140);"><span style="font-size: 12pt; color: rgb(102, 120, 140);">Experience negotiating and working with large, multi-national, regulated organizations, including federal, state and local government entities.</span></li>
