Legal Officer

About The Role
To provide day-to-day legal and company secretarial services support to the Bank including but not limited to legal advisory support and reviewing, drafting and making recommendations on contracts, agreements and other legal.
- Provide legal support and opinions to relevant in-country teams
- Ensure all documentation is properly signed and recorded
- Manage the agreement database to ensure all information is up-to-date, signed and correctly linked to other relevant systems within the bank / group
- Ensure contracts and agreement are tracked for lapse dates and necessary action is taken.
- attends to all the admin work of the Department (not limited to preparation of reports required from the Department, maintaining Departmental dashboards, maintaining Departmental records, filing, diarizing meetings
- assists as is directed with all admin duties of the Office of Company Secretariat (not limited to preparation of Board packs, drafting minutes of committee Board meetings);
- assist the Legal Manager and Country Head of Legal and CoSec to ensure effective and efficient management of the in-country legal risk as from time to time directed to the Legal Officer;
- has the primary role to conduct any legal research required for purposes of preparing legal opinions;
- has the primary role to collate information for the compilation of in country legal risks and litigation progress reports at advised intervals;
- has the primary role to receive all mail that is sent to the LEGAL DEPARTMENT, brings it to the attention of the Legal Manager and the Country Head of Legal for actioning
- tracks and records all work in progress / deadlines / responsibilities / projects of the LEGAL DEPARTMENT. This involves preparing and maintaining trackers for any work as is directed by the Line Manager;
- keeps and maintains a register of all contracts that the bank is party to. This specifically excludes contracts for credit facilities with the banks customers;
- keeps and maintains a register of all litigation instructions given to the external legal panel firms;
- drafts / reviews contracts of small threshold amounts of a maximum of BWP100,000.00;
- has the primary role to receive resolutions that require the Company Secretary’s signature, review’s same with the approval of the Line Manager;
- assist Country Head of Legal to provide training and support to the business on relevant legal risks management aspects, as is appropriate; and,
ensure an up to date and relevant knowledge of principal areas of the law and practice in all commercial law areas required by and incidental to the business needs of the Bank
Requirements
Educational and Experience
- A Law Degree from a recognized institution
- Minimum 4 years working experience
