Global Entity & Corporate Governance Manager

What You'll Do

• Coordinate legal entity formations / dissolutions
• Draft and coordinate execution of various board/shareholders resolutions related to routine matters/requests – director/officer changes, registered agent changes and maintenance, registered address changes, appointment of bank signatories, etc. and completing any subsequent necessary filings.
• Draft and coordinate execution of various board/shareholders resolutions related to complex matters/requests – article updates, intercompany agreements, M&A transactions, financing, capital injections, etc. and completing any subsequent necessary filings.
• Coordinate, file, and track relevant UBO registrations
• Support Controllership function, in coordinating and filing annual reports, returns, and account statements, as well as auditor reports and requests.
• Support JV administration and governance
• Provide legal support on due diligence and integration workstreams for acquisitions and divestitures.
• Work cross-functionally with tax, controllership, human resources and others on entity rationalization projects.
• Help identify improvements and build templates/tools to streamline legal entity management processes.

What We're Looking For

• 5-10 years’ experience in corporate secretarial practice, ideally in-house or at a firm supporting multinational corporate clients.

• Familiarity with entity governance fundamentals: board/shareholder resolutions, entity formation and dissolution, regulatory and beneficial-ownership filings.

• Experience reviewing commercial contracts and supporting M&A due diligence a plus.
