As the Company Secretarial Assistant, you will assist with the administration of a full suite of company secretarial matters for all Group and subsidiary companies, including joint ventures, and support the Deputy Company Secretary on UK and Group corporate transactions, mergers and acquisitions, group corporate finance, and company secretarial administration.

What you will be doing

You will play a key role in supporting the Deputy Company Secretary with the administration of company secretarial matters for all Group and subsidiary companies, including joint ventures, ensuring effective corporate governance and statutory compliance across multiple jurisdictions. Working closely with senior executives, directors, external advisers, local corporate service providers and internal stakeholders, you will help coordinate board meetings, prepare and maintain statutory records, manage filings, and support corporate transactions, restructurings and governance-related projects using company secretarial software, internal SharePoint and the Group’s Diligent Entities platform.

Key responsibilities

  • Coordinate and support Board meetings for UK group subsidiaries, including scheduling meetings, preparing agendas and board packs, requesting reports, formatting, collating and distributing meeting papers; attend meetings, draft accurate minutes and assist with the preparation of resolutions and other meeting documentation.
  • Support the Deputy Company Secretary in managing the compliance and governance requirements of the Group's global subsidiary portfolio.
  • Coordinate with local corporate service providers, legal advisers, and internal stakeholders to ensure statutory compliance across multiple jurisdictions.
  • Support the Deputy Company Secretary with Companies House filings and preparation including annual compliance obligations.
  • Support the Deputy Company Secretary in the company secretarial aspects of corporate transactions, restructurings and other governance-related projects.
  • Prepare draft board and shareholder resolutions, minutes and supporting documentation in connection with routine corporate matters, vessel financing transactions, loan facilities, and other corporate activities across the Group.
  • Maintain companies’ statutory books including registers of members, directors and secretaries using company secretarial software and internal SharePoint.
  • Own the day-to-day administration of the Group's Diligent Entities platform, ensuring entity records are accurate, complete and maintained in a timely manner.

Qualifications

  • Degree educated essential; LLB (Law degree) desirable.
  • The Chartered Governance Institute of UK & Ireland qualification desirable.
  • Possesses at least 1-3 years’ experience working in the company secretarial field.
  • Demonstrates a solid understanding of the role and responsibilities of a company secretarial function and its contribution to effective corporate governance.
  • Good knowledge of the Companies Act and its practical application in routine company secretarial matters.
  • Able to manage a defined set of responsibilities with appropriate supervision and demonstrates a proactive approach to strengthening governance processes and controls.
  • Willing and able to provide support to the Deputy Company Secretary and assist in covering responsibilities during periods of absence.
