About The Role

This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a Group Legal Counsel based in Canada.

This is a senior legal leadership role serving as a trusted advisor and strategic business partner to a diverse group of technology <businesses.You> will work directly with senior leadership on strategy, commercial decisions, contracts, risk, governance, and major initiatives.The role combines hands-on legal expertise with leadership of lawyers and contract managers across multiple business <units.You> will drive consistency, efficiency, and best-practice adoption across the legal function while strengthening processes and <technology.You> will also play an important role in talent development, succession planning, compliance, and high-impact legal matters.The position offers significant exposure to mergers and acquisitions, including due diligence, transaction negotiations, and post-acquisition integration.Success requires sound legal judgment, strong commercial instincts, and the ability to influence stakeholders across a global, multi-business environment.

Accountabilities

Strategic business partnership: Participate in strategy reviews, deal reviews, and key initiatives, providing legal, contractual, commercial, and risk guidance to senior group and business-unit leadership.

Legal leadership: Serve as the senior legal escalation point for the group, overseeing the quality, consistency, and effectiveness of legal support across multiple business units.

Commercial and risk advisory: Provide practical legal advice on contracts, business decisions, litigation, high-risk matters, and other issues requiring senior legal judgment.

External legal support: Build and maintain relationships with specialized external counsel in areas such as employment, intellectual property, and other specialized legal disciplines.

Legal process optimization: Establish and implement shared legal tools, processes, policies, governance practices, and best practices across business units.

Technology and AI enablement: Drive adoption and effective use of legal technology, including contract-management platforms and AI-enabled tools, while streamlining and automating workflows from contract intake through execution and filing.

Talent development: Lead, coach, and mentor lawyers and contract managers, supporting performance management, career development, succession planning, recruiting, engagement, and retention.

Resource planning: Work with business and HR leadership to ensure legal resources are appropriately allocated according to business priorities and workload.

Compliance and reporting: Manage group-level compliance activities and quarterly reporting requirements while maintaining appropriate governance standards.

Business-unit support: Provide hands-on legal support across business units, including key contracts, litigation, complex matters, and overflow requirements.

M&A: Support acquisitions through due diligence, purchase agreement negotiations, transaction resourcing, and integration of acquired businesses and assets.

Enterprise collaboration: Partner with the broader legal leadership team on global M&A activities, legal strategy, and strategic initiatives.

Requirements

  • Senior-level legal experience with a strong track record of advising businesses on commercial, contractual, corporate, and risk matters.
  • Demonstrated ability to operate as a strategic business partner, translating complex legal considerations into practical commercial recommendations.
  • Experience leading or managing legal teams, including lawyers and contract management professionals across multiple business units or jurisdictions.
  • Strong understanding of commercial contracting, corporate governance, compliance, risk management, and legal operations.
  • Experience supporting mergers and acquisitions, including due diligence, transaction documentation, negotiations, and integration.
  • Proven ability to develop and implement legal processes, policies, governance frameworks, and operational best practices.
  • Experience with legal technology and/or contract-management systems, with an interest in leveraging AI and automation to improve legal workflows.
  • Strong coaching, mentoring, talent-development, and succession-planning capabilities.
  • Excellent communication, negotiation, influencing, and stakeholder-management skills, with the ability to work effectively with senior executives.
  • Sound judgment, commercial awareness, discretion, integrity, and the ability to manage sensitive and high-risk matters.
  • Ability to operate effectively in a complex, distributed, multi-business environment and balance strategic priorities with hands-on legal support.
  • Strong organizational skills and the ability to manage multiple priorities while maintaining high standards of legal quality and service.
