ABOUT THE ROLE
Cloaked is hiring a Product Counsel to serve as a core legal partner to Product, Engineering, Compliance, and business teams as we build the next generation of AI-native privacy, identity, and financial-services products. This role will have particular ownership of Cloaked Pay and other regulated product surfaces, but the mandate is broader: embed with product teams, help shape products from concept through launch, and translate legal and regulatory requirements into practical product decisions.
The core mandate is to operate as a product lawyer, not just a reviewer at the end of the process. You will understand how Cloaked products and AI-enabled features actually work, identify where the law is black, white, or gray, pressure-test compliance decisions, and give Product a practical path forward without sending every novel question to outside counsel. You will help translate financial-services, privacy, consumer-protection, and emerging AI requirements into product architecture, user experiences, disclosures, controls, and operating workflows.
You will also support the commercial agreements that enable our products — including enterprise, partnership, vendor, AI/data, and payments agreements — and help structure relationships with banks, processors, model and infrastructure providers, and other strategic partners. Because this is a lean legal team, you will also have opportunities to take on adjacent corporate and general legal matters. Deep financial-services expertise remains important, but the strongest candidates will pair it with product counseling instincts and comfort navigating AI, privacy, and data issues.
WHAT YOU'LL DO
Product & AI Counseling
- Serve as embedded Product Counsel for Cloaked Pay and other AI-enabled privacy, identity, and financial-services products, partnering directly with Product, Engineering, Design, and Compliance from ideation through launch and ongoing operation.
- Advise on new products and features where the legal or regulatory answer is not obvious, including AI-driven workflows, agentic experiences, automated decisioning, personalization, data use, and consumer-facing product claims; distinguish hard requirements from judgment calls and help the business make calibrated risk decisions.
- Counsel on adjacent privacy, cybersecurity, AI governance, marketing, consumer-protection, and general business-law matters as needed in a small, fast-moving legal team.
Financial Services & Payments
- Advise on consumer payments and credit-card regulatory requirements, including Regulation E, Regulation Z where applicable, GLBA, UDAAP/UDAP, FCRA, BSA/AML concepts, prepaid access and money-transmission considerations, Nacha requirements, and card-network rules.
- Review and challenge financial-services compliance analyses and controls; help ensure regulatory requirements are accurately translated into product flows, disclosures, policies, procedures, and operational workflows.
- Lead legal work across the Cloaked Pay ecosystem, including issuing-bank/BIN-sponsor relationships, program managers, processors, tokenization and network partners, cardholder terms and disclosures, funding and settlement structures, disputes, and related vendor arrangements.
Commercial & Strategic Partnerships
- Own and negotiate product-enabling agreements, including enterprise and end-customer agreements, AI/model and data-provider agreements, MSAs, SOWs, order forms, DPAs, NDAs, procurement agreements, partnerships, technology integrations, and vendor contracts.
- Partner with Product, Sales, Partnerships, and Engineering to move product launches and agreements forward efficiently while protecting the issues that materially matter to Cloaked.
Corporate & General Legal
- Support corporate legal work as needed, including entity formations, corporate records and maintenance, filings, governance support, and coordination with outside corporate counsel.

WHAT SKILLS AND EXPERIENCE WILL HELP YOU
Approximately 7–10 years of legal practice, with meaningful product-counseling experience and strong exposure to financial-services, payments, banking, credit-card, fintech, privacy, or AI-enabled technology products.
J.D. from an accredited law school and active bar admission in good standing.
Deep, hands-on consumer financial-services regulatory experience. You have applied the rules to live products and can translate them into practical product and compliance decisions.
Strong payments or card experience — ideally involving card issuing, consumer credit, virtual cards, payment processing, sponsor-bank/program-manager relationships, or comparable payments infrastructure.
Strong commercial contracting ability across enterprise, procurement, vendor, partnership, and technology agreements. You are comfortable owning negotiations rather than simply advising from the sidelines.
Product-lawyer judgment: you can sit with product managers and engineers, understand a proposed feature or technical flow, identify legal issues early, and give a clear recommendation about how to build and launch responsibly.
Comfort operating in a startup environment where Product and Engineering move quickly, the legal team is lean, and the right answer is often practical rather than academic.
NICE TO HAVE
In-house product-counsel experience at a fintech, bank, card issuer, payments company, AI company, consumer technology company, or platform business with meaningful regulated product exposure.
Experience supporting consumer credit cards, BNPL/installment lending, consumer payments, issuing, acquiring, or similar financial products.
Prior law-firm, regulatory, or government experience focused on consumer financial services, paired with a clear desire to operate hands-on inside a fast-moving company.
Experience counseling on privacy, cybersecurity, AI governance, data use, automated systems, or consumer-protection issues, particularly where they intersect with financial products and consumer data.
Corporate experience such as entity formation, corporate maintenance, governance, or related filings.
