Position Summary
Corporate Legal Paralegals assist attorneys in various stages of corporate transactions. They provide a vital service in preparing and verifying necessary documents to comply with local and national regulations.
Essential Duties and Responsibilities
Typical responsibilities include, but are not limited to, the following
- Draft correspondence and documentation under lawyer supervision
- Assist with due diligence matters by organizing and reviewing documents; assist and manage virtual data rooms with deal team
- Revise, proofread and distribute draft agreements and other transactional documents
- Prepare, distribute and collect signature pages
- Obtain charter documents and good standing certificates from the Secretary of State in applicable jurisdictions
- Assist lawyers at transaction pre-closings and closings
- Gather, organize and maintain precedent collections
- Conduct factual research assignments and draft memoranda
- Assist with the compilation and creation of capital market tables, checks and revisions
- Coordinate with internal and external working groups to facilitate transactions execution
- Coordinate filings with the Securities and Exchange Commission, state corporate departments and stock exchanges
Qualifications/Position Requirements
- Ability to manage a varied workload and meet deadlines
- Must be punctual and reliable
- Proficient in MS Word, Excel, Outlook and other applications as needed
- Strong interpersonal skills
- Must be able to work collaboratively with lawyers and business services, demonstrating strong teamwork and a positive attitude
- Excellent written and verbal communication skills
- Ability to proofread typed material for typographical, spelling and grammatical errors
- Ensure confidentiality of all the Firm’s and clients documentation and information
Education and/or Experience
- College degree with a strong academic record
- AA degree and Paralegal certificate with a strong academic record
- Law degree not essential but would be considered a plus
- Minimum 2 years’ relevant legal experience
Compensation
The expected annual base salary for this position is $85,000 to $95,000. Salary offers are based on a wide range of factors including relevant skills, training, experience, education, and, where applicable, licensure or certifications obtained. Market and organizational factors are also considered. Davis Polk offers a competitive salary and comprehensive benefits package.
