We are looking for a Senior Assistant Company Secretary to join our Secretariat team, reporting to Rest's Company Secretary you role will be to drive the strategic development and execution of initiatives that enhance governance and accountability. You will manage the day-to-day execution of high-quality secretariat services for a portfolio of board committees ensuring that they meet relevant regulatory and legal obligations.

Enhance Governance and Accountability Framework

Advise on and enhance the governance and accountability framework in collaboration with the General Manager

Manage, maintain and enhance the delegations framework and relevant governance policies (Board Governance Policy, Fit and Proper Policy, Conflicts Management Policy, and Gifts and Benefits Policy)

Monitor regulatory and legislative developments, advising on implementation strategies for required changes

Provide technical advice, briefings and expertise on governance, accountability and emerging risks

Manage Board Committee Operations

  • Manage the end-to-end operations of a portfolio of Board Committees, collaborating with relevant Chairs to promote effective and transparent operation
  • Encourage timely implementation of committee decisions

Drive Governance Culture and Compliance

  • Influence a robust and proactive governance and accountability culture through decision-making processes and strategic input
  • Support the organisation in fulfilling its governance and accountability obligations
  • Support the General Manager in driving continuous improvement in the management of statutory and compliance obligations

Provide Strategic Governance Advisory Support

  • Build and foster trusted working relationships with senior management and directors
  • Provide timely, commercially pragmatic governance and accountability advice across the organisation
  • Maintain networks with peer Company Secretary Offices to share insights and best practice

Qualifications

Relevant tertiary qualification

Experience as a company secretary, and in advising on governance and accountability matters.

Proven understanding of governance principles and practices, including current governance trends, regulations and legislation, and maintaining currency in support of advising on governance best practice

Experience in designing and delivering end-to-end secretariat services, provision of high-quality advice and support to boards and senior executives, and governance and accountability initiatives and practices within a complex corporate environment.
