About The Role

The Corporate Legal Counsel role provides high-quality legal advice and support to the business and regional stakeholders in the North America region, ensuring effective management of contractual, commercial, and regulatory matters. Acts as a trusted business partner, enabling commercially sound decision-making while protecting FLS’ interests, ensuring compliance, and supporting execution of strategic initiatives including M&A activities. This role reports to Regional Legal Leadership.

YOUR RESPONSIBILITIES

  • Provide legal advice on contractual, commercial, and regulatory matters for North America region
  • Draft, review, negotiate, and support execution of contracts across business lines and corporate functions
  • Support M&A processes including: due diligence, coordination of external counsel across jurisdictions, review of transaction documents and agreements
  • Support major projects, claims, and dispute resolution activities
  • Ensure compliance with applicable laws, regulations, and internal governance frameworks
  • Manage and coordinate external legal counsel where required
  • Provide practical, business-oriented legal guidance to project and commercial teams

WHAT YOU BRING

  • J.D. from an accredited law school.
  • Member in good standing of a US State Bar with the ability to qualify for full or authorize house counsel licensure in either Pennsylvania or Utah.
  • Minimum 5+ years relevant legal experience in a law firm or corporate legal department including significant commercial experience and transactional work.
  • High level of professionalism and commitment to ethical conduct.
  • Strong organizational skills and ability to work independently and handle multiple responsibilities simultaneously while still meeting high quality and timeliness standards.
  • Strong interpersonal skills and proven ability to work collaboratively in cross-functional/multi-disciplinary teams.
  • Ability to influence others without direct line management oversight.
  • Ability to effectively and efficiently manage outside counsel, when used, and adhere to a budget.
  • Experience with managing complex commercial litigation, a plus.
  • Experience in real estate, also a plus.
