DESCRIPTION

Join our collaborative legal team as a Legal Counsel and play an important role in supporting Thermo Fisher Scientific’s business operations and continued growth. Reporting to the Sr. Legal Counsel , this position will provide practical, commercially focused legal advice to business leaders and cross-functional teams, with primary responsibility for commercial contracting and day-to-day legal support.

The Legal Counsel will work closely with Commercial, Finance, Marketing, Supply Chain, Quality, Regulatory Affairs, Human Resources and other functions to identify legal risks, develop practical solutions and support business objectives in accordance with applicable laws, regulations and Company policies.

A significant part of the role will involve drafting, reviewing and negotiating a broad range of commercial agreements, including sales and purchase agreements, service agreements, distribution agreements, government and public-sector contracts, OEM arrangements and other business agreements. The role will also provide exposure to legal and compliance matters including competition law, anti-bribery and anti-corruption, data privacy, marketing activities, product liability and healthcare or life sciences regulations.

This role is well suited to a legal professional who enjoys partnering with the business, can manage multiple priorities in a fast-paced multinational environment and translate complex legal issues into clear, practical business advice. The successful candidate will also work with regional and global Legal colleagues on cross-border matters and broader legal initiatives.

KEY RESPONSIBILITIES

Commercial Contracts and Transactions

  • Draft, review and negotiate a broad range of commercial contracts and legal documents, including sales, purchase, service, distribution, OEM, supply and procurement agreements.
  • Support government and public-sector contracting matters, including tenders, bids and procurement arrangements.
  • Provide legal support for cross-border transactions and coordinate with regional and global Legal colleagues as appropriate.
  • Develop and maintain standard contracts, templates, clauses and contract review guidelines to improve consistency and efficiency.

General Legal and Business Advisory

  • Serve as a trusted legal advisor to business and functional stakeholders on day-to-day legal matters.
  • Provide practical, business-oriented legal advice that appropriately balances commercial objectives with legal and regulatory risks.
  • Conduct legal research and monitor relevant legal and regulatory developments in Taiwan, advising stakeholders on potential business impact.
  • Support the implementation of global and regional legal policies, processes and initiatives in Taiwan.
  • Coordinate with regional and global Legal teams on matters involving multiple jurisdictions or business groups.
  • Support other legal matters and projects as assigned by the Sr. Legal Counsel or Legal leadership.

Corporate Governance and General Corporate Matters

  • Provide legal support on corporate governance, entity management and general corporate matters.
  • Assist with corporate documentation, delegations of authority, powers of attorney, authorized signatories and other corporate records.
  • Support corporate reorganizations, entity changes, integrations and other corporate projects in coordination with Finance, Tax, regional Legal teams and external advisors.
  • Assist with due diligence and corporate transactions, including mergers, acquisitions and divestitures, where applicable.

Policies, Training and Legal Compliance

  • Support the development and implementation of legal policies, guidelines, procedures and internal processes.
  • Provide practical training and guidance to employees on contracts, legal requirements and risk management.
  • Partner with Legal, Compliance, Finance, Internal Audit and other functions on compliance and risk-management initiatives.

REQUIREMENTS

  • Advanced Degree plus at least 3 years of relevant legal experience, or Bachelor’s Degree plus at least 5 years of relevant legal experience.
  • Preferred Field of Study: Law.
  • Strong experience drafting, reviewing and negotiating commercial contracts and advising on business transactions.
  • Experience working in a corporate, commercial or regulated-industry environment; multinational in-house experience preferred.
  • Admission to practice law in Taiwan preferred.
  • Knowledge or experience in areas such as government contracts/public procurement, competition law, anti-bribery and anti-corruption, data privacy, product liability and marketing/advertising matters.
  • Experience in medical devices, pharmaceuticals, healthcare, life sciences or other regulated industries is an advantage.
  • Strong written and spoken English and Mandarin Chinese, including the ability to draft and negotiate legal documents in English.
  • Sound legal judgment with a practical, business-oriented approach to risk.
  • Able to work independently, prioritize effectively and manage multiple matters in a fast-paced environment.
  • Clear communicator who can explain legal issues simply and work effectively with business and cross-functional stakeholders.
