Job Description

Job Purpose

Brookfield is seeking to add a lawyer to the BPW Legal and Regulatory Team, based in either its Hong Kong or Singapore office. Reporting to the Managing Director for Legal for BPW ex North America (who is based in London), the role will be primarily responsible for establishing local feeder funds, negotiating distribution agreements and other product distribution-related agreements with the wealth management intermediary channels and platforms in relation to Brookfield’s private and registered funds as well as providing legal support to the BPW APAC team. The role will have responsibility for a range of work, including advising on the regulation, establishment, management, governance and marketing of Brookfield’s investment funds within the wealth management channels. The investment funds in scope include closed end private funds, open end private funds, open end registered funds and evergreen registered funds and global feeder funds into the above funds. The candidate will collaborate with legal and regulatory personnel and teams across Brookfield and its affiliate managers, as needed, and engage with external counsel to ensure alignment of legal and regulatory approach(es) across Brookfield.

Key Competencies Required

  • Negotiate distribution agreements, letters of understanding, selling agreements and other product distribution-related agreements with the wealth management intermediary channels and platforms in relation to Brookfield’s private fund and evergreen products.
  • Engage with Brookfield and its affiliates’ internal and external legal counsel throughout negotiation of agreements with wealth management intermediaries.
  • Engage with personnel from technology platform partners that Brookfield contracts with to develop feeder fund structures for onshore and offshore distribution of products through wealth management intermediaries.
  • Advise the business on cross border sale of US and EU funds together with any offshore feeder funds into jurisdictions across APAC.
  • Assist in responding to due diligence queries from prospective investors specific to the legal structure of Brookfield funds.

Candidate Profile

  • Juris Doctorate (J.D) or equivalent from an accredited institution.
  • Licensed to practice law and a member in good standing in Singapore or Hong Kong (as appropriate).
  • 7+ years of experience, previous in-house experience preferred but will consider candidates from private practice with good experience with a focus on private funds and/or evergreen offerings and distribution-related matters.
  • Working knowledge of the rules and regulations impacting broker-dealers, onshore and offshore registered and private funds and evergreen offering, private fund structuring and formation, and feeder fund formation.
  • Working knowledge of, and experience working with and applying, the regulatory requirements and restrictions that apply to the marketing and distribution of private funds and evergreen offerings on a global basis.
  • Experience negotiating placement agent agreements, dealer agreements, platform/services agreements.
  • Familiarity with tax issues relating to private funds preferred but not required.
  • Strong client orientation with excellent interpersonal and communication skills, and ability to give commercial advice and guidance to internal clients.
  • Desire to work in a team‐based entrepreneurial environment with an ability to collaborate and build relationships with individuals at all levels of the organization.
  • Strong analytical and problem-solving skills combined with attention to detail and thoroughness
  • Solid written and verbal communication.
  • Proficiency in Mandarin and/or Cantonese may be required to support engagement with clients, intermediaries and other stakeholders in Greater China where communications are conducted in those languages.
  • Resourceful, commercial and proactive when issues arise.
  • Able to establish priorities, work on multiple assignments, meet competing deadlines and work in a dynamic, fast-paced global environment.

Travel

Employee will need to be flexible and open to travel both domestic and international as needed.
