About The Role

JOB RESPONSIBILITIES

  • Provide comprehensive legal advice and counsel to management, executives, and all departments on a wide range of corporate, commercial and regulatory matters, including:
  • Commercial & Contract Law: Draft, review, negotiate and manage a broad range of domestic and international commercial agreements, including supply, distribution, franchise, licensing, services, lease, technology, marketing and other business agreements, as well as agreements with international brands represented by the Company.
  • Corporate Governance: Advise on corporate governance and shareholder matters, support corporate actions and maintain corporate records, including establishment, restructuring and ongoing legal support of the Company and its group entities.
  • Brand & Intellectual Property: Manage legal matters relating to the Company's represented international and local brands, including trademark licensing, distribution and franchise arrangements, trademark usage and brand compliance; support the protection and enforcement of the Company's intellectual property rights.
  • Retail, E-commerce & Consumer Protection: Advise on legal compliance of retail and e-commerce operations, including consumer rights, product returns and warranties, pricing, advertising, product information, online sales terms, personal data protection and other consumer-facing requirements.
  • Regulatory Compliance: Monitor and ensure compliance with applicable legislation affecting the Company's activities and retail operations, including requirements relating to trade, advertising, consumer protection, e-commerce, personal data, precious metals and other applicable regulatory matters.
  • Regulatory & Government Relations: Represent the Company before state and local self-government authorities in connection with the Company's activities, including submission of applications and documents, obtaining and maintaining required permits, authorizations, licenses and other regulatory approvals, and handling related correspondence and procedures.
  • Employment Law: Provide legal support on employment matters, including review and preparation of employment agreements and other employment-related documents, employee relations and compliance with labor legislation.
  • Legal Risk Management: Identify, assess and mitigate legal risks arising from the Company's day-to-day operations, commercial relationships, new projects and business expansion.

Represent the Company in legal matters

  • Represent and protect the Company's interests in negotiations and disputes with suppliers, vendors, landlords, business partners and other third parties.
  • Represent the Company before state and local self-government authorities, administrative bodies and courts in matters within the scope of the legal function.
  • Manage claims, pre-litigation matters, administrative proceedings and litigation, including coordination with external legal counsel where necessary.
  • Engage and manage external legal counsel for specialized or complex legal matters.

Other responsibilities

  • Develop, implement and maintain legal policies, procedures, templates and internal processes to support legal compliance and efficient contract management.
  • Monitor legislative and regulatory developments affecting the Company's business and advise management and relevant departments on their implications.
  • Provide legal support for new business initiatives, projects, products, concepts and expansion of the Company's operations and group structure.
  • Maintain effective relationships with internal stakeholders, international brand partners, external advisors and governmental authorities, providing clear, timely and commercially practical legal advice.
  • Operate as the sole legal counsel for the Armenian entity, independently managing the full legal function and prioritizing matters according to business needs, while coordinating with external counsel and specialized advisors where required.

REQUIRED QUALIFICATIONS

  • University degree in Law.
  • At least 5 years of relevant legal experience , preferably in an in-house, commercial, corporate or retail environment.
  • Strong knowledge of RA civil, corporate, labor, administrative, consumer protection and other legislation relevant to the Company's activities .
  • Practical experience with commercial contracts, including supply, distribution, franchise, licensing and services agreements; experience working with international brands is a strong advantage.
  • Experience in dealing with state and local self-government authorities , including obtaining permits, licenses, authorizations and other regulatory approvals.
  • Knowledge of intellectual property, e-commerce, consumer protection, advertising and personal data protection legislation.
  • Knowledge of international commercial law and experience working with international counterparties is an advantage.
  • Fluency in Armenian, English and Russian.
  • Excellent written and verbal communication skills.
  • Ability to work independently, manage a broad and diverse legal workload, prioritize effectively and meet strict deadlines.
  • Excellent negotiation, analytical, strategic thinking and problem-solving skills.
  • Strong attention to detail and ability to provide practical, business-oriented legal advice.
  • Advanced computer skills.
