Holthouse Carlin & Van Trigt LLP is seeking a skilled and motivated Legal Counsel to join our legal team. Reporting directly to the General Counsel/Partner, this individual will play a crucial role in providing legal guidance and support across various areas of our operations. They will be expected to handle time-sensitive assignments, take initiative, think strategically, communicate effectively, work independently, demonstrate an interest in learning the business, and assume ownership. While not necessarily essential, the ideal candidate has prior experience providing counsel to an accounting firm.
The firm will expect the Legal Counsel to be able to contribute in the following ways
Legal Advisory & Strategy
Provide timely and strategic legal advice to colleagues on a wide range of legal matters, such as contracts, client matters, privacy, regulatory compliance, licensing, insurance, firm governance, risk management, ethics, and employment matters
Conduct legal risk assessments, provide recommendations to colleagues on potential risks and opportunities, and offer proactive solutions to mitigate legal exposure and to enhance business efficiency and effectiveness
Monitor legal and regulatory developments relevant to the firm’s operations, assessing their impact, and develop and implement compliance strategies and policies to mitigate legal risks
Advise colleagues on legal issues, compliance requirements, and best practices designed to promote a culture of risk management, legal awareness, and accountability within the firm
Transactional & Contract Management
Draft, review, and negotiate client engagement agreements, vendor contracts (including SAAS), nondisclosure agreements, data processing addenda, and leases
Governance, Policy & Compliance
- Handle subpoenas for documents and/or depositions or trial testimony.
- Develop, update, and implement firm policies and procedures to ensure alignment with legal and regulatory requirements and to promote ethical conduct and integrity
- Collaborate with business teams to structure agreements that protect the firm’s interests while supporting commercial objectives
To be successful in this role, the Legal Counsel will need the following skills and attributes
Excellent analytical, problem-solving, legal research, and decision-making skills
Exceptional written and verbal communication and interpersonal skills, with careful attention to detail and the ability to collaborate effectively with stakeholders at all levels of the firm
Proven ability to manage multiple projects simultaneously, prioritize tasks, and meet deadlines in a fast-paced environment
High level of integrity, professionalism, and curiosity
An appreciation for, and understanding of, the importance of client confidentiality
Team-oriented with a willingness to tackle any assignment
An ability to multi-task
Required Qualifications
- Juris Doctor (JD) degree from an accredited law school
- Admission to the California State Bar and in good standing
- 3-6 years of experience practicing law in-house or at a law firm
Preferred Qualifications
Experience as a transactional attorney, either in-house or at a law firm
Knowledge of CCPA, GDPR, and related data security/privacy regulations
Experience representing professional services firms, including familiarity with governance, engagement agreements, non-disclosure agreements, risk management, and/or employment law
Experience handling subpoenas for documents and/or deposition or trial testimony

This salary range is specific to the state(s) listed and takes into account the wide range of factors that are considered in making compensation decisions including but not limited to skill set and education; experience and training; licensure and certifications; and other business and organizational needs. A reasonable estimate of the range for this position is $225,000-$300,000.
