 Our Equity Private Placements practice, a dedicated team within the Equity Capital Solutions vertical of the broader Capital Solutions Group, originates, structures, and executes private financings. Members of the Equity Private Placements team work closely with a range of sponsor-backed, family-owned, public, and privately-owned clients, as well as with Houlihan Lokey’s industry coverage/ M&A, and financial restructuring teams.
The Equity Private Placements team executes on a variety of private financing transactions, such as growth equity, structured equity, Private Investments in Public Equities (PIPEs), co-invest equity, and other minority equity placements for a variety of situations. Use of proceeds for these transactions include growth capital, acquisition financings, refinancings, dividend recapitalizations, leveraged buyouts (LBOs), and special situations.
In 2025, Houlihan Lokey completed more equity private placements than any other non-balance sheet bank. The Equity Private Placements team is seeking to recruit an Analyst to join the team in New York, New York. The Analyst will be responsible for supporting Associates and senior bankers on the day-to-day aspects of equity private placement transaction and marketing efforts, and conducting broader administrative tasks required to facilitate the efficient running of the team and the broader Equity Capital Solutions Group.
Equity Private Placements transactions involve similar stages to M&A deals, e.g. creating marketing materials (CIMs, three-statement financial models), spearheading counterparty diligence, coordinating management meetings, and ultimately structuring/negotiating the financing to close. Financial Analysts will gain valuable experience with respect to (i) technical proficiency in cash flow and three-statement modeling, (ii) organizational skills and experience running investor outreach processes, and (iii) superior understanding of capital structure and private capital markets.
You will
- Work side-by-side with a talented, dedicated staff of seasoned capital raising professionals who will provide broad exposure to the many different considerations affecting private placement transactions;
- Assist with evaluating and structuring customized financing alternatives for a range of clients, including modeling, preparing marketing materials, and preparing structuring analysis, among other activities;
- Interact with a variety of investors, including venture capital funds, growth equity funds, private equity funds, hybrid capital funds, co-investment funds, insurance companies, hedge funds, asset managers, and family offices, as well as growth / venture debt providers;
- Gain hands-on transaction experience by playing an integral role on deal teams from the initial pitch through closing;
- Broaden your corporate finance and valuation skills relevant to raising capital, while building a detailed understanding of key developments in both the private and public capital markets;
- Interact with a broad range of businesses across different industries at different points in their corporate lifecycles, all with unique capital needs;
- Build relationships with and support the broader Equity Capital Solutions Group as well as other sector teams across Houlihan Lokey to ensure close engagement between the Equity Private Placements Practice and the broader firm; and
- Play a key role in preserving and fostering our strong positive culture, including mentoring and training junior professionals.

Qualifications
The ideal candidate would possess the following qualities and background
- One year of relevant work experience in similar roles within equity or debt capital markets, investment banking, and/or private equity
- Undergraduate degree
- Top academic performer and a quick learner capable of performing in an unstructured environment
- Proven accounting, finance, 3-statement financial modeling, and analytical abilities
- Excellent verbal and written communication skills
- Demonstrated leadership qualities that are team-oriented and collegial, including the ability to work cooperatively and constructively with all levels of staff
- Very strong work ethic and careful attention to detail
- Strong organizational skills and a proven self-starter
- Series 7, 63, and 79 securities licenses, or ability to quickly obtain


 Compensation and Benefits
Houlihan Lokey is committed to providing its employees with an exciting career opportunity and competitive total compensation package, which may include other components such as discretionary incentive compensation. The firm’s good faith and reasonable estimate of the possible salary range for this role at the time of posting is:

 $120,000-$130,000


Actual salary at the time of hire may vary and may be above or below the range based on various factors, including, but not limited to, the candidate’s relevant qualifications, skills, and experience and the location where this position may be filled.
