About The Role

This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a Commercial Counsel based in the United States.

This is a remote-first opportunity for a commercial attorney looking to build a broad in-house career within a fast-paced technology <environment.You> will take ownership of a diverse portfolio of SaaS, technology, vendor, partner, and consulting agreements.The role combines hands-on contract negotiation with opportunities to expand into privacy, compliance, product counseling, and AI regulation.Working closely with Sales, Customer Success, Security, Compliance, Product, Finance, and other teams, you will help enable growth while managing legal and operational <risk.You> will have meaningful exposure to international business activities and emerging issues across data protection, cybersecurity, AI, and legal technology.Reporting to the General Counsel, you will have the opportunity to develop into a senior in-house legal leader as your scope and responsibilities grow.

Accountabilities

Draft, review, and negotiate a broad range of commercial and technology agreements, including SaaS subscription agreements, enterprise licenses, order forms, MSAs, SOWs, NDAs, DPAs, BAAs, partner and reseller agreements, and amendments.

Partner with Sales and Customer Success to facilitate efficient deal execution while identifying, managing, and appropriately mitigating legal and commercial risks.

Develop and maintain contract templates, negotiation playbooks, clause libraries, and related processes to improve consistency and contracting efficiency.

Collaborate with IT, Security, Compliance, Finance, Product, and other business teams to ensure agreements align with organizational risk tolerances, operational requirements, and business objectives.

Gradually expand responsibilities into privacy and data protection, including GDPR, CCPA/CPRA, emerging U.S. state privacy laws, and AI-related regulations such as the EU AI Act.

Provide practical legal guidance on product matters, compliance questions, contract interpretation, marketing activities, and pre-litigation commercial disputes.

Conduct legal research and monitor developments in privacy, cybersecurity, AI regulation, open-source licensing, SaaS contracting, and other areas relevant to a technology business.

Support dispute resolution and collaborate with external counsel when specialized legal assistance is required.

Develop and implement internal policies, procedures, and training programs covering contracts, privacy, compliance, and other legal and operational risk areas.

Support security and privacy incident response, including legal requirements related to data breach notifications and coordination with relevant internal teams.

Stay current on AI and emerging legal technology tools and identify opportunities to use them responsibly to improve legal workflows, efficiency, and quality.

Requirements

  • Juris Doctor (J.D.) degree from an accredited law school and active membership in good standing with at least one U.S. State Bar.
  • 3–6 years of legal experience, with a strong focus on commercial contracts and technology transactions.
  • Experience working within an in-house corporate legal department or a law firm technology/commercial practice.
  • Strong knowledge of SaaS business models, software licensing, cloud computing, and technology-related commercial agreements.
  • Working knowledge of global privacy and security frameworks, including GDPR, CCPA/CPRA, SOC 2, and emerging AI regulations.
  • Strong commercial judgment, with the ability to balance legal risk against business priorities and develop practical, business-oriented solutions.
  • Excellent written and verbal communication skills, with the ability to translate complex legal concepts into clear guidance for non-legal stakeholders.
  • Strong ownership, organization, and problem-solving skills, including the ability to manage a high volume of contracts and competing priorities under tight deadlines.
  • Comfortable working collaboratively across international and cross-functional teams and supporting cross-border commercial arrangements across the U.S., EMEA, and APAC.
  • Proactive and resourceful approach, with the ability to anticipate legal issues and address them before they become larger business problems.
  • Genuine interest in AI, legal technology, and emerging tools, with a willingness to experiment thoughtfully and use technology to work more efficiently.

Benefits
