As Senior Legal Counsel - M&A, you will act as lead legal adviser on high-profile international transactions.

Your responsibilities will include

Leading the legal execution of domestic and international acquisitions, divestitures, joint ventures and strategic investments. Managing complex legal due diligence exercises and coordinating specialist legal input across multiple jurisdictions. Drafting, reviewing and negotiating transaction documentation, including share purchase agreements, joint venture agreements, transition service agreements, NDAs and other ancillary documents. Advising on transaction structuring and identifying pragmatic solutions to legal and commercial risks. Partnering with internal stakeholders across Corporate Strategy, M&A, Finance, Treasury, Tax, HR, IT and Compliance throughout the deal lifecycle. Managing signing, closing and post-closing processes. Supporting integrations, carve-outs and corporate reorganisations following completed transactions. Coordinating and managing external legal counsel internationally while maintaining ownership of transaction execution. Advising senior management on strategic legal considerations impacting investment decisions. Contributing to the continuous development of the company's M&A legal function and best practices.

Belgian Master's degree in Law. Approximately 8+ years of post-qualification experience in Corporate/M&A law. Experience gained within a leading international law firm and/or a sophisticated international in-house legal environment. Demonstrated experience leading complex domestic and cross-border M&A transactions. Excellent drafting, negotiation and project management skills. Strong commercial judgement and ability to translate legal complexity into practical business advice. Confident communicator with the ability to influence senior stakeholders. Fluent in English . French and/or Dutch are considered strong assets.
