This position reports to our Assistant General Counsel for Commercial and is located in Columbia, Maryland. The Commercial Counsel serves as primary counsel supporting Grace’s business activities for its Materials Technologies organization. Among other things, they will identify and analyze legal issues, negotiate and draft contracts, assist with corporate matters, and ensure compliance with applicable laws and regulations. Responsibilities Partner with and counsel the Materials Technologies organization related to all types of contracts: sales, distribution, consultancy, etc. Review, negotiate and draft all types of contracts, including supply agreements, manufacturing agreements, and service agreements. Assist in reviewing and providing counsel regarding internal and external communications. Provide legal counsel and insightful experience concerning all commercial matters involving the Materials Technology organization. Coordinate with other legal experts in specialized areas such as intellectual property, litigation, and tax. Provide additional legal support on other matters and assume other responsibilities, as assigned. Required Qualifications J.D. with a strong academic record and active member in good standing of a State Bar At least five (5) years of experience with drafting and negotiating complex contracts and providing support on general corporate matters Strong contract drafting and negotiating skills. Excellent communication and analytical skills, and ability to think strategically and tactically. Detail-oriented, organized, efficient, and resourceful with strong follow-through skills. Proven self-starter, results-oriented, high-energy team player with demonstrated leadership skills. Superior communication skills, both verbal and written. In particular, must be able to effectively frame and explain issues to non-lawyers to drive strategic-thinking and execution. Ability to think critically, learn new substantive areas quickly, analyze problems and data, and develop creative and practical solutions. #LI -TC1 Preferred Qualifications Global or multi-regional experience Experience supporting global corporations on contracts and commercial issues.
