About the Role

We are seeking a motivated, detail-oriented Government Contracts Attorney to join our legal team on-site in Arlington, Texas. The ideal candidate brings five to ten years of hands-on experience advising on federal procurement matters and possesses deep familiarity with the Defense Federal Acquisition Regulation Supplement (DFARS), Other Transaction Agreements (OTAs), data rights frameworks, and contract line item structuring. This role serves as a key legal partner to our contracts, business development, and program management teams, ensuring full regulatory compliance across the lifecycle of our government engagements.

Key Responsibilities

Contracts & Procurement

  • Draft, review, negotiate, and administer government prime contracts, subcontracts, teaming agreements, nondisclosure agreements, and contract modifications under FAR and DFARS.
  • Provide guidance on contract line item number (CLIN) structures, pricing arrangements, deliverable requirements, and contract terms to support compliant proposal submissions.
  • Support capture and proposal efforts through solicitation reviews, compliance assessments, bid/no-bid analysis, and evaluation of contractual terms and conditions.
  • Identify contract flow-down requirements and ensure appropriate incorporation into supplier and subcontractor agreements.
  • Review customer requests and contractual documents to ensure alignment with company policies, business objectives, and regulatory requirements.
  • Maintain contract files, records, and documentation throughout the contract lifecycle.

Other Transaction Agreements (OTAs)

  • Support the proposal development, negotiation, implementation, and administration of Other Transaction Authority (OTA) agreements under 10 U.S.C. § 4022.
  • Assess OTA eligibility requirements, prototype transaction structures, follow-on production opportunities, and consortium participation arrangements.
  • Monitor DoD OTA guidance and communicate evolving requirements and best practices to internal stakeholders.
  • Coordinate with program managers and business leaders to ensure compliance with OTA terms, reporting requirements, and deliverable obligations.

Data Rights & Intellectual Property

  • Analyze and negotiate technical data and computer software rights provisions under DFARS Part 227.
  • Support the development and management of data rights assertions, restrictions, and license agreements in proposals and contracts.
  • Coordinate with engineering, program management, and leadership teams to identify and protect proprietary information, trade secrets, and intellectual property.
  • Support data rights and intellectual property strategies during proposal development and contract performance.

Compliance & Risk Management

  • Identify, assess, and help mitigate contractual, compliance, financial, and operational risks throughout the contract lifecycle.
  • Support DCAA audits, DCMA reviews, and other government inquiries related to contract administration and performance.
  • Provide guidance regarding organizational conflicts of interest (OCIs), procurement integrity requirements, ethics obligations, and company compliance policies.
  • Support export compliance reviews related to contract performance, technical data, and controlled information under ITAR and EAR requirements.
  • Research and monitor regulatory developments, agency policies, and acquisition trends that may impact company operations or contractual obligations.
  • Assist in implementing and maintaining procedures that support compliance with FAR, DFARS, and company policies, including FAR 52.203-13 Contractor Code of Business Ethics and Conduct requirements.

Contract Administration & Issue Resolution

  • Manage contract administration activities throughout the contract lifecycle, including modifications, option exercises, extensions, and closeouts.
  • Support the preparation and administration of Requests for Equitable Adjustment (REAs), contract modifications, and claims-related documentation.
  • Draft and review cure notice responses, show-cause responses, contract correspondence, and performance-related communications.
  • Coordinate with internal stakeholders and legal counsel regarding contract disputes, performance concerns, and complex compliance matters, as needed.
  • Develop recommendations and strategies for issue resolution, contract performance improvement, and risk mitigation.
  • Provide contract guidance to program teams to support successful execution of customer requirements and company objectives.

Required Qualifications

  • Bachelor's degree in Business Administration, Contract Management, Supply Chain Management, Finance, Public Administration, Law, or a related field.
  • 5-10 years of experience managing federal government contracts, subcontracts, or procurement activities in industry, government, or defense contracting environments.
  • Demonstrated expertise with FAR, DFARS, and applicable agency supplements.
  • Experience supporting Department of Defense contracts and federal acquisition programs.
  • Working knowledge of Other Transaction Agreements (OTAs), including prototype and follow-on production structures.
  • Experience with data rights, intellectual property provisions, and DFARS Part 227 requirements.
  • Proficiency with CLIN structures, contract types (FFP, CPFF, T&M, IDIQ), modifications, and contract administration.
  • Strong contract negotiation, communication, analytical, and relationship-management skills.
  • Ability to interpret contractual requirements, evaluate risks, and develop practical business solutions.
  • Ability to work on-site full-time in Arlington, Texas.

Preferred Qualifications

  • Master's degree in Business Administration, Acquisition Management, Public Administration, Law, or a related discipline.
  • Certified Professional Contracts Manager (CPCM), Certified Federal Contracts Manager (CFCM), NCMA certification, or equivalent professional credential.
  • Experience supporting defense, aerospace, autonomous systems, emerging technology, or federal research and development programs.
  • Experience working with OTA consortiums and consortium management organizations.
  • Familiarity with DCAA, DCMA, contractor purchasing systems, and government business system requirements.
  • Knowledge of export compliance regulations, including ITAR and EAR.
  • Experience leading complex negotiations with U.S. Government agencies, prime contractors, and commercial partners.

Work Environment & Expectations

This is a full-time, on-site position based in Arlington, Texas. The role requires daily collaboration with contracts, business development, program management, finance, engineering, and executive leadership teams in a fast-paced government contracting environment.

Occasional travel to customer locations, government facilities, industry events, consortium meetings, or other company sites may be required. The position operates with a high degree of autonomy and independent judgment while partnering closely with cross-functional stakeholders to support company growth, contractual compliance, and successful program execution.
