About The Role
Job Summary
This role will provide strategic legal support across the business, with a particular focus on business development, construction-related matters, and dispute resolution for wind, solar, battery storage and land. The successful candidate will play a key role in guiding complex transactions, ensuring compliance, and supporting the company’s growth in the renewable energy sector.
Key Responsibilities
- Contract Review & Negotiation on Complex Transactions
Assist business teams in reviewing, negotiating and advising on complex contracts including EPC and O&M contracts, joint venture agreements, offtake agreements and debt financings.
- Strategic Legal Advice
Provide expert counsel on key legal issues impacting Vena Energy’s operations in the Philippines particularly onshore and offshore wind, mounted and floating solar, battery storage and land / real estate matters.
- Claims & Disputes
Advise and assist in potential or ongoing claims, disputes, and investigations, particularly those arising from construction and business development, land acquisition and offtake agreements.
- Compliance
Ensure compliance with Philippine laws, renewable energy regulations, anti-money laundering, data privacy and anti-bribery/anti-corruption frameworks.
- Corporate & Commercial Matters
Advise on general corporate issues and day-to-day activities, including commercial contracts, office leases, and employment matters.
- Template Management
Review, standardize, and maintain legal document templates.
- Legal Research
Conduct legal research to support business and operational needs.
- Regional Matters
Provide support on regional APAC legal matters as required.
- Team Supervision
Supervise and mentor at least 1–2 lawyers within the Philippines legal team depending on the growth of the business.
- Other Duties
Undertake any other tasks assigned by country business teams or the Philippine Head of Legal.
Pre-requisites
- Experience : Minimum of 15 years as a practicing lawyer.
- Industry Background : At least 5 years of experience in the energy industry is preferred or as a general counsel dealing with multiple projects and entities; prior experience in renewable energy is highly desirable.
- Expertise : Strong background in business development, construction-related legal matters, and dispute resolution.
- Skills : Excellent negotiation, analytical, and communication skills; ability to manage complex transactions and provide clear, strategic advice and handle multiple projects and issues.
- Leadership : Demonstrated ability to supervise and develop junior lawyers.
