  • As of December 31, 2025. Adams Street Partners’ methodology to calculate Assets Under Management (AUM) is based on fund net asset value (NAV), plus unfunded commitments, plus leverage, but excluding the effect of subscription lines of credit. The prior AUM methodology was based on investor commitments minus commitments to fully liquidated underlying partnerships. Such change in methodology was effective July 2026; however, for periods shown prior to December 31, 2025, Adams Street continues to use the previous methodology. This updated methodology more closely aligns with (i) the amount of assets managed on behalf of investors and (ii) the amount of capital available to make direct and/or partnership investments. Amounts stated by investment advisers in regulatory filings (“regulatory AUM”) have a prescribed methodology, which may, in some circumstances, differ from the methodology such adviser uses for other purposes, including marketing efforts. Adams Street Partners is seeking a Paralegal to join its growing Legal team. The Paralegal will be tasked with supporting activities related to private equity investments as well as closings of private equity fundraises. This individual will also provide general support to the Legal team in a variety of fundraising, investing and compliance related activities. He/she will work in the twenty-two-member Legal team, which oversees Adams Street’s global legal and compliance functions.

Role Description

Specifically, this individual will be involved with

  • Preparing and maintaining various documents/instruments: investment approval documentation, private equity fund subscription documents, debt finance documents, closing lists, corporate charters, LLC/partnership formation documents, corporate resolutions, officer certificates, AML/KYC documentation, etc.
  • Interacting with internal and external investment professionals, lawyers, bankers, accountants, investors and other professionals.
  • Maintaining control of closing documentation and ensuring they conform to Adams Street’s guidelines.
  • Assisting with the preparation and maintenance of private equity fund formation, fundraising and investment documentation.
  • Managing post-closing assembly/distribution of closing documents and closing volumes.
  • Responding to investor and fund general partner requests in connection with closings and amendments as well as supplemental information requests.
  • Maintaining and improving internal records, checklists, spreadsheets, and other tracking devices.
  • Participating in and assisting in the management of due diligence projects.
  • Performing other ad hoc projects as assigned.

Required Skills

We seek an individual who is self-disciplined and customer service oriented with the following characteristics

  • Undergraduate degree, ideally with a business administration or law focus, is required, and a paralegal certificate from an ABA accredited program is strongly desired.
  • Two to three years paralegal or legal project assistant experience in corporate/transactional law practice setting with exposure to with private equity fund structures.
  • Experience assisting with multiple closings preferably in private equity fundraising and investing, mergers and acquisitions, and/or debt finance.
  • Managing and organizing transactional documentation, ideally in the areas of private equity fundraising and/or investments.
  • Familiarity with global Anti-Money Laundering/Know Your Customer (AML/KYC) laws and regulations.
  • Exceptional attention to detail, highly organized and able to prioritize and meet competing deadlines.
  • Knowledge of and experience using document management systems, electronic data rooms, legal focused and general AI systems and MS Office suite required.
  • Interest in staying abreast of industry trends, product knowledge and trends in marketing and investor relations.
  • Ability to work independently and on a team.
  • Strong problem-solving skills with a desire to learn new and complex concepts.
