About The Role

Essential Functions and Primary Duties
- Collaborate with federal tax and advisory teams in buy-side and sell-side transaction tax engagements
- Perform multi-state tax due diligence to related middle market companies and private equity investors with a focus on nexus, exposure quantification, and audit risk
- Apply and interpret state and local tax law as it relates to tax due diligence exercises
- Analyze state income and franchise tax, sales and use tax, property tax, payroll tax, and unclaimed property
- Write detailed reports to present diligence findings to clients
- Responsible for engagement management, including preparing and presenting tax findings and concepts
- Advise clients on how to maximize opportunities and minimize risks related to mergers and acquisitions and provide recommendations in the context of valuation and deal structuring alternatives
- Develop and propose creative solutions to engagement and transaction risks and effectively manage problem resolution
- Review and critique project databooks and reports prepared by project team members
- Perform post-close follow-up work including nexus studies, voluntary disclosures, audit defense, and other SALT planning
- Advise clients on preparation for exit and help implement remediation strategies ahead of sale
- Interface with senior executives of clients and target companies
- Display the ability to manage and prioritize team responsibilities, and proactively consult with Directors and Managing Directors
- Work on multiple projects of varying size and complexity
- Play an integral role in developing relationships with current and prospective clients, identify market opportunities and articulate our value proposition
Preferred Qualifications
- 6+ years of applicable work experience in one of the following: tax compliance and consulting, or other M&A experience
- Advanced MS Excel skills and strong working knowledge of other MS Office applications, specifically PowerPoint
- Extensive experience in project management including planning, organizing, coordinating, and managing staff, clients, and/or partners towards the successful completion of a project
- Demonstrated ability to learn and succeed in a fast-paced and unconventional work environment is essential
- Strong verbal and written communication skills
- Experience working in a fast-paced environment and ability to manage multiple projects and deadlines
- Master's degree in Accounting, Taxation or related field
- Licensed CPA/equivalent certification
Minimum Qualifications
- Bachelor’s degree
- 5 years of experience in public accounting or related field
- 3 years supervisory experience
- Must have active CPA or equivalent certification
- Ability to manage all aspects of client engagements
- Demonstrated ability to communicate verbally and in writing throughout all levels of organization, both internally and externally
- Must be able to travel based on client and business needs
- Proficient use of applicable technology
