About The Role
VP, Corporate Counsel
Acumetis is seeking a strategic and business-minded VP, Corporate Counsel to serve as the organization's head of the Legal department and trusted advisor to executive leadership. Reporting directly to the CFO, the Corporate Counsel is responsible for leading all legal activities, compliance oversight, corporate governance, risk management, and real estate-related legal matters across the organization.
This role oversees a team responsible for contract administration and legal operations. The Corporate Counsel will provide practical, solutions-oriented legal advice and advocacy for business decisions that enable business growth, while protecting Acumetis from legal, regulatory, and operational risk.
Key Responsibilities
Legal Leadership & Strategic Counsel
- Serve as the primary legal advisor to the CFO, executive leadership team, and key stakeholders.
- Provide guidance on corporate, regulatory, employment, contractual, operational, and strategic business matters.
- Evaluate legal risks and recommend practical solutions aligned with organizational objectives.
- Manage litigation, claims, disputes, and external legal counsel as necessary.
- Monitor changes in laws and regulations that may impact Acumetis and ensure appropriate organizational response.
Contract Management & Legal Operations
- Lead and oversee the team responsible for drafting, reviewing, negotiating, and managing contracts and agreements.
- Establish and maintain contract review standards, templates, policies, and approval workflows.
- Ensure efficient legal operations and continuous improvement of contracting processes.
- Provide legal oversight for vendor, customer, partnership, consulting, contractor, and service agreements.
- Provide legal advice and contract support for technology and information security suppliers, including SaaS, cloud, managed services and other critical vendors, covering data protection, information security obligations, intellectual property, liability, audit rights, termination, data return and supplier exit provisions.
Compliance & Risk Management
- Direct the organization's compliance program and ensure adherence to applicable global, federal, state, and local laws and regulations.
- Provide legal advice on data protection and privacy matters, including data processing agreements, international data transfers, data-subject rights, privacy incidents and the contractual use and sharing of personal data
- Partner with Global IT and Information Security by providing legal and regulatory advice on data protection, information governance, technology contracting and cybersecurity matters.
- Develop, implement, and maintain policies, procedures, and training programs that promote ethical business practices.
- Partner with leadership to identify, assess, and mitigate enterprise-wide risks.
- Partner with Global IT and Information Security on customer security, privacy and compliance assessments, ensuring that responses and remediation commitments are accurate, appropriately approved and do not create unintended contractual obligations.
- Oversee investigations, regulatory inquiries, and compliance audits as needed.
- Provide legal support during significant cybersecurity or data incidents, including legal privilege, breach assessment, regulatory and contractual notification requirements, evidence preservation, external counsel and communications with affected customers or other parties.
Real Estate Oversight
- Provide legal support and oversight for real estate transactions, commercial lease negotiations, acquisitions, dispositions, and property-related agreements.
- Review and negotiate commercial leases and associated legal documentation.
- Advise leadership on legal risks and opportunities related to the organization's real estate portfolio and facilities strategy.
Corporate Governance
- Support executive leadership and the Board of Directors on governance matters.
- Ensure appropriate corporate records, resolutions, and governance documentation are maintained.
- Assist with policy development and implementation to support organizational accountability and compliance.
Leadership & Team Development
- Lead, mentor, and develop legal operations, contract management, and compliance team members.
- Foster a collaborative, service-oriented approach that supports internal stakeholders.
- Establish departmental goals, performance metrics, and operational priorities.
Qualifications
Education
- Juris Doctor (J.D.) degree from an accredited law school.
- Active membership in good standing with a state bar.
Experience
- Minimum of 10 years of progressive legal experience, including significant corporate, commercial, regulatory, or transactional law experience.
- Demonstrated experience advising executive leadership in a complex business environment.
- Experience overseeing contract management, compliance programs, and legal operations.
- Experience with commercial real estate transactions and commercial lease negotiations preferred.
- Prior experience managing legal, compliance, or contract administration teams.
Knowledge, Skills, and Abilities
- Deep understanding of corporate law, contract law, compliance, governance, and risk management principles.

- Strong business acumen with the ability to balance legal considerations and operational objectives.
